MasterFileAI – Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of the MasterFileAI website, platform, and related services (collectively, the “Service”). The Service is a product of MakoInsight Corporation (“MakoInsight,” “MasterFileAI,” “we,” “us,” or “our”). The Service is operated by MasterFileAI (“MasterFileAI,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use the Service.

1. Description of the Service

MasterFileAI is a product offering of MakoInsight Corporation.

MasterFileAI provides an artificial intelligence–powered data cleanup, standardization, enrichment, and analysis platform designed to process vendor, customer, and master data files. The Service may include, without limitation, data standardization, enrichment, classification, confidence scoring, and duplicate detection.

The Service operates using automated and AI-driven processes. Outputs are generated based on the data provided by users and the behavior of underlying AI models and deterministic logic.

2. Eligibility and Authority

By using the Service, you represent and warrant that:

• You are at least 18 years of age; and
• You have the legal authority to enter into these Terms on behalf of yourself or the entity you represent.

3. User Responsibilities

You are solely responsible for:

• The accuracy, legality, and completeness of all data, files, and information you upload or submit to the Service (“Customer Data”);
• Ensuring that you have all necessary rights, permissions, and legal authority to provide Customer Data to MasterFileAI; and
• Your use of the Service and any decisions or actions taken based on the outputs generated by the Service.

You agree not to use the Service for any unlawful, fraudulent, or prohibited purpose.

4. AI-Generated Outputs and Limitations

The Service relies on artificial intelligence models, automated processes, and external data sources. As a result:

• Outputs are probabilistic and informational in nature;
• Outputs may contain errors, omissions, or inaccuracies;
• MasterFileAI does not guarantee the accuracy, completeness, or suitability of any output for any specific purpose.

You acknowledge and agree that:

• The Service does not provide legal, tax, compliance, accounting, or regulatory advice;
• Outputs should be independently reviewed and validated before being relied upon for business, legal, compliance, or financial decisions;
• MasterFileAI is not responsible for decisions, actions, or outcomes resulting from reliance on AI-generated outputs.

5. No Warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MASTERFILEAI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

MASTERFILEAI DOES NOT WARRANT THAT:

• THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED;
• OUTPUTS WILL BE ACCURATE OR COMPLETE;
• DEFECTS WILL BE CORRECTED; OR
• THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• MASTERFILEAI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL;
• MASTERFILEAI’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO MASTERFILEAI FOR THE SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE EVENT.

Some jurisdictions do not allow certain limitations of liability; in such cases, liability will be limited to the fullest extent permitted by applicable law.

7. Data Ownership, Storage, and Retention

7.1 Customer Data

All Customer Data processed by the Service is stored and processed within Microsoft Azure cloud environments located in the United States. MasterFileAI leverages Microsoft Azure infrastructure to provide secure, scalable, and reliable data processing.

You retain all rights, title, and interest in and to Customer Data.

MasterFileAI may use Customer Data solely for the purpose of:

• Providing and operating the Service;
• Processing, analyzing, and generating outputs requested by you; and
• Maintaining, securing, and improving the Service.

7.2 Data Retention and Deletion

MasterFileAI will retain Customer Data for up to eighteen (18) months from the date of upload, unless otherwise agreed in writing.

Customers may request deletion of their data at any time prior to the expiration of the retention period by contacting hello@masterfileai.com. Upon receipt of a valid deletion request, MasterFileAI will delete the applicable Customer Data from its active systems within a reasonable timeframe and provide written confirmation of deletion.

7.3 Data Sales

MasterFileAI does not sell Customer Data.

We do not sell, rent, or trade Customer Data to third parties for marketing or advertising purposes.

8. Confidentiality and Security

MasterFileAI implements reasonable administrative, technical, and organizational safeguards designed to protect Customer Data from unauthorized access, disclosure, or misuse. Customer Data is processed using a combination of automated systems and multiple artificial intelligence engines selected at MasterFileAI’s discretion, which may change over time as AI technologies evolve.

You acknowledge that no system can be guaranteed to be 100% secure, and you use the Service at your own risk.

9. Use of Customer Logos and Trademarks

Unless you notify us in writing otherwise, you grant MasterFileAI a non-exclusive, royalty-free, revocable license to use your company name and logo solely for the purpose of identifying you as a customer of the Service in:

• Marketing materials;
• Customer lists;
• Website references; and
• Sales or promotional presentations.

Such use will be consistent with reasonable brand guidelines. You may revoke this permission at any time by providing written notice, after which MasterFileAI will remove your logo from future materials within a reasonable timeframe.

10. Payment and Fees

Fees for the Service are described on the MasterFileAI website or in an applicable order or checkout flow.

All fees are non-refundable unless otherwise expressly stated in writing.

11. Termination

MasterFileAI may suspend or terminate your access to the Service at any time if you violate these Terms or use the Service in a manner that could cause harm or legal exposure.

Upon termination, your right to access the Service will cease immediately.

12. Governing Law and Venue

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of laws principles.

Any legal action or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located within the Commonwealth of Massachusetts, and the parties consent to such jurisdiction and venue.

13. Changes to These Terms

MasterFileAI may update these Terms from time to time. Updated Terms will be posted on the website with a revised effective date. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.

14. Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement between you and MasterFileAI regarding the Service.
• Severability: If any provision is held unenforceable, the remaining provisions will remain in effect.
• Waiver: Failure to enforce any provision shall not constitute a waiver.
• Assignment: You may not assign these Terms without prior written consent. MasterFileAI may assign these Terms in connection with a merger, sale, or reorganization.
